1. Acceptance of Terms

By accessing and using any services provided by Integrated Technology Solutions, LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

Integrated Technology Solutions, LLC provides software-as-a-service (SaaS) products for educational organizations. Our services include, but are not limited to, academic calendar planning and management tools.

3. Limitation of Liability

IMPORTANT: Integrated Technology Solutions, LLC's total liability to you for any claims arising from your use of our services shall not exceed the amount you paid to Integrated Technology Solutions, LLC in the six (6) months immediately preceding the date the claim arose.

In no event shall Integrated Technology Solutions, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services;
  • Any conduct or content of any third party on our services;
  • Any content obtained from our services; or
  • Unauthorized access, use, or alteration of your transmissions or content.

4. Subscription and Renewal

4.1 Subscription Terms

Your subscription to our services will automatically renew at the end of each subscription period unless you provide written notice of cancellation.

4.2 Cancellation Requirements

NOTICE REQUIRED: To cancel your subscription and prevent automatic renewal, you must provide written notice to Integrated Technology Solutions, LLC at least ninety (90) days prior to your subscription renewal date.

Cancellation notices sent with less than 90 days' notice will result in your subscription being renewed for an additional term, and you will be responsible for payment of the renewal period.

4.3 Refund Policy

Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to our services until the end of your current subscription period.

5. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information when creating your account;
  • Maintain the security of your password and account;
  • Promptly notify us of any unauthorized use of your account;
  • Not share your account credentials with others.

6. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations;
  • Infringe on the intellectual property rights of others;
  • Transmit any harmful, threatening, abusive, or offensive content;
  • Attempt to gain unauthorized access to our services or related systems;
  • Interfere with or disrupt our services or servers;
  • Use our services for any commercial purpose not authorized by Integrated Technology Solutions, LLC.

7. Intellectual Property

Our services and their original content, features, and functionality are owned by Integrated Technology Solutions, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your use of our services does not grant you ownership of any content, code, data, or materials you may access through our services.

8. Data and Privacy

You retain ownership of any data you submit to our services. By using our services, you grant us a license to use, store, and process your data solely for the purpose of providing our services to you.

9. Service Modifications and Termination

We reserve the right to modify, suspend, or discontinue our services at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

We may terminate or suspend your account and access to our services immediately, without prior notice, for any reason, including breach of these Terms.

10. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Mississippi, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
